Definitions <\/h3>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-5742074 elementor-widget elementor-widget-text-editor\" data-id=\"5742074\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Capitalized terms have the meanings below.\u00a0Any capitalized term used but not defined in this Definitions section shall have the meaning given to it elsewhere in these Program Terms\u00a0and will be treated as a defined term:<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-8864465 elementor-widget elementor-widget-text-editor\" data-id=\"8864465\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<ul><li><strong>\u201cAccount\u201d<\/strong> means Your registered account on the Platform.<\/li><li><strong>\u201cClient\u201d<\/strong> means the end user\/customer of the Platform (\u201cYou\u201d, \u201cYour\u201d).<\/li><li><strong>\u201cContent\u201d<\/strong> means any text, data, images, graphics, audio, video, software, and other materials on or made available through the Platform.<\/li><li><strong>\u201cOrder\u201d<\/strong> means Your purchase request submitted through the Platform.<\/li><li><strong>\u201cOrder Confirmation\u201d<\/strong> means our confirmation of acceptance of Your Order (including by email, SMS\/WhatsApp, in-app notification, or status update on the Platform).<\/li><li><strong>\u201cSubscription\u201d<\/strong> means any recurring delivery and\/or recurring billing plan offered through the Platform (e.g., the Platform currently displays an annual subscription with monthly delivery for certain Products).<\/li><li><strong>\u201cVAT\u201d<\/strong> means value-added tax under applicable law in the Kingdom of Saudi Arabia.<\/li><li><strong>\u201cKSA\u201d<\/strong> means the Kingdom of Saudi Arabia.<\/li><li><strong>\u201cProgram\u201d<\/strong> means the Discount Code Rewards Program (defined and governed by the Program Terms).<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-2d6a1a1 e-con-full e-flex e-con e-child\" data-id=\"2d6a1a1\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t<div class=\"elementor-element elementor-element-a5834fe elementor-widget elementor-widget-heading\" data-id=\"a5834fe\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h3 class=\"elementor-heading-title elementor-size-default\">3. Platform Description <\/h3>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-bf79077 elementor-widget elementor-widget-text-editor\" data-id=\"bf79077\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<ol><li><strong>What We do.<\/strong> The Platform operates under the name of Spada. Spada is a direct-to-consumer e-commerce business offering sparkling water products and any other Products made available through the Platform from time to time.<\/li><li><strong>Products.<\/strong> Product descriptions, images, sizing\/packaging, availability statements, and other Content are provided for convenience and may not be fully current in real time. Minor variations in color, packaging, and presentation may occur. Products are subject to availability. We may impose quantity limits, restrict purchases, or remove Products at any time for operational, inventory, legal, or compliance reasons. If a Product is listed at an incorrect price or with incorrect information due to an error, We may correct the listing and (where applicable) cancel affected Orders in accordance with these Terms.<\/li><li><strong>Geography.<\/strong> The Platform is intended for use in KSA. We may limit availability of the Platform and Products by location, inventory, and operational capacity, in our sole discretion. We may decline Orders where delivery is not feasible or commercially reasonable (including remote areas, restricted access locations, or areas impacted by carrier limitations). You are responsible for ensuring that Your delivery address and contact details are accurate and that receiving Products at Your location is lawful and permitted.<\/li><li><strong>Delivery timelines.<\/strong> The Platform indicates estimated delivery timelines (e.g., 1\u20133 days in Riyadh and up to 10 days in the rest of KSA). Delivery timeframes are estimates, not guarantees, and may vary based on address verification, inventory, dispatch timing, carrier performance, peak seasons, and Force Majeure events. We may fulfill an Order in multiple shipments where operationally efficient (e.g., inventory allocation), without additional delivery charge unless disclosed at checkout. Where delivery fails due to incorrect address details, unavailability, or refusal to receive, We may arrange re-delivery subject to additional charges and\/or treat the Order as cancelled consistent with these Terms or applicable law.<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-4c7f43b e-con-full e-flex e-con e-child\" data-id=\"4c7f43b\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t<div class=\"elementor-element elementor-element-ac17289 elementor-widget elementor-widget-heading\" data-id=\"ac17289\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h3 class=\"elementor-heading-title elementor-size-default\">4. What You Represent <\/h3>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-8bb6b86 elementor-widget elementor-widget-text-editor\" data-id=\"8bb6b86\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>By using the Platform,\u00a0You\u00a0represent,\u00a0warrant\u00a0and agree to the following:<\/p><ol><li>You are at least 18 years old, have full legal capacity, and are able to form a binding contract under applicable law. If You are using the Platform on behalf of another person or entity, You represent that You are duly authorized to bind that person\/entity to these Terms.<\/li><li>All information\u00a0You\u00a0provide to Us (including name, contact details, delivery address, billing details, and any verification information) is true,\u00a0accurate, complete, and current, and\u00a0You\u00a0will promptly update it if it changes.\u00a0You\u00a0acknowledge that Order processing and delivery may be\u00a0impacted\u00a0or fail if\u00a0Your information is inaccurate.<\/li><li>You\u00a0will access and use the Platform only for lawful purposes, in accordance with these Terms and all applicable laws and regulations in KSA (including consumer protection and e-commerce requirements as applicable), and\u00a0You\u00a0will not use the Platform in any manner that infringes any third-party rights or interferes with the operation\/security of the Platform.<\/li><li>Where purchasing requires registration\/login,\u00a0You\u00a0will\u00a0maintain\u00a0Your Account credentials securely and will not allow unauthorized access.\u00a0You\u00a0will\u00a0notify Us\u00a0promptly if\u00a0You\u00a0suspect any unauthorized access or security incident relating to\u00a0Your Account.<\/li><li>You\u00a0are the authorized user of the payment method used for Orders (or have the express permission of the authorized user), and\u00a0You\u00a0authorize Us and our payment processors to charge the applicable amounts\u00a0in accordance with\u00a0these Terms.<\/li><li>You\u00a0will be available (or ensure an authorized recipient is available) to receive delivery at the specified address, and\u00a0You\u00a0will handle and store Products appropriately upon receipt, including\u00a0in accordance with\u00a0any instructions on packaging\/labels.<\/li><li>You\u00a0will not misuse or\u00a0attempt\u00a0to circumvent Platform controls, Promotions, eligibility checks, purchase limits, or security measures, and\u00a0You\u00a0will not engage in fraud, chargeback abuse, or any deceptive practice in connection with Orders.<\/li><li>You\u00a0consent to receive transactional communications\u00a0regarding\u00a0Orders and\u00a0Your Account through the contact details\u00a0You\u00a0provide (including SMS\/WhatsApp\/in-app notifications),\u00a0and\u00a0You\u00a0acknowledge that failure to receive messages due to incorrect details does not relieve\u00a0You\u00a0of\u00a0Your obligations under these Terms.<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-c880f70 e-con-full e-flex e-con e-child\" data-id=\"c880f70\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t<div class=\"elementor-element elementor-element-106e798 elementor-widget elementor-widget-heading\" data-id=\"106e798\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h3 class=\"elementor-heading-title elementor-size-default\">5. Use of the Platform<\/h3>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-c61c3f4 elementor-widget elementor-widget-text-editor\" data-id=\"c61c3f4\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>By using the Platform, You agree that:<\/p><ol><li>You acknowledge and agree that You will not use the Platform for any illegal or unauthorized purpose, and You will not violate any applicable laws or regulations, including copyright laws.<\/li><li>You agree not to transmit any viruses, worms, or other harmful code, use bots, scrapers, or automated means to access the Platform;, interfere with security, operations, or performance of the Platform or abuse promotions, codes, or referral mechanics<\/li><li>You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Platform or any content on it, without prior written permission from Us.<\/li><li>You agree to provide Us with certain information, including Your first and last name, phone number, email address, and credit or debit card details (\u201cClient Data\u201d). This information is necessary for Us to provide the Services. When You request a Service, You may be required to provide additional information, including a detailed address and other personal information. We may use this information to deliver the Services to You, if necessary, in accordance with our <a href=\"\/privacy-policy\/\">Privacy Policy<\/a>.<\/li><li>You also agree that We may use some information to contact You in the context of Your request if necessary (in accordance with Our <a href=\"\/privacy-policy\/\">Privacy Policy<\/a>. If You do not provide Us with all the required information, You cannot be provided with any of the Services.<\/li><li>You are required to create a personal profile (the \u201cClient Profile\u201d), which includes Your Client Data. When You purchase a Service through the Platform, You will receive information that includes details about the Service purchased.<\/li><li>We may suspend or restrict Your access to the Platform (in whole or part) if We reasonably believe You violated these Terms, engaged in fraud\/abuse, or created risk for the Platform, other customers, or third parties.<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-77eb2bc e-con-full e-flex e-con e-child\" data-id=\"77eb2bc\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t<div class=\"elementor-element elementor-element-883e0b2 elementor-widget elementor-widget-heading\" data-id=\"883e0b2\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h3 class=\"elementor-heading-title elementor-size-default\">6. Accounts and Security <\/h3>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-214c1db elementor-widget elementor-widget-text-editor\" data-id=\"214c1db\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>When You want to use the Platform, You will need to sign up and create a Client Account (as mentioned above). During the sign-up process, You will need to provide Us with accurate information about Yourself, including Your Client Data and Client Profile as defined in these Terms. Please make sure to keep this information up to date.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-209369d elementor-widget elementor-widget-text-editor\" data-id=\"209369d\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>To access Your\u00a0Client\u00a0Account,\u00a0You\u00a0will need to use\u00a0Your personalized login credentials (the \u201cClient\u00a0Login Credentials\u201d). It is important to keep these credentials secure and\u00a0confidential, and\u00a0not share them with anyone else.\u00a0You\u00a0are responsible for\u00a0any activity that occurs on\u00a0Your account using\u00a0Your\u00a0Client\u00a0Login Credentials, whether it was authorized by\u00a0You\u00a0or not.\u00a0We\u00a0may require\u00a0additional\u00a0verification (e.g., OTP, address confirmation) and may refuse, cancel, or hold Orders pending verification, in our sole discretion.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-14c859f elementor-widget elementor-widget-text-editor\" data-id=\"14c859f\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>If You believe that Your Client Account has been compromised, or that Your Login Credentials have been lost, stolen, or otherwise compromised, You must let us know immediately by contacting our customer support team at [<a href=\"mailto:info@spada-wp.vproj.com\">info@spada-wp.vproj.com<\/a>]. This will help us protect Your account and prevent any unauthorized activity.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-e35adbd elementor-widget elementor-widget-text-editor\" data-id=\"e35adbd\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>You are responsible for all payment instructions or transactions made through Your account, whether or not You authorized them. If Your account or login credentials are stolen, lost, compromised, or used without Your permission, You will be held liable for any losses or payments unless You promptly notify Us and We have a reasonable amount of time to act on Your notice. You will also be held responsible for any losses or unauthorized payments resulting from fraudulent or illegal access to Your systems. You are responsible for ensuring that Your payment instructions are accurate and free of errors unless limited by law. Any refunds (if applicable) will be handled in accordance with these Terms.<\/li><\/ol><\/li><li>Termination does not affect Orders already accepted, except as addressed under these Terms and applicable law.
